Republic Bank Internet Banking Agreement

This Internet Banking Agreement ("Agreement") sets forth the term and conditions governing Republic Bank's ("Republic" or "Bank") electronic banking services. This Agreement describes your and our rights, responsibilities, and obligations.

ESTABLISHMENT AND USE OF INTERNET BANKING

Eligibility Requirements: In order to activate Internet Banking services for your account at republicbank.com, you must have at least one eligible account with Republic. An "eligible account" includes a personal checking, savings, or money market account; a home equity line of credit; or a real estate or installment loan; but does not include any account for which two signatures are required for withdrawals. You must also establish an Internet Banking log-in ID and password. You may be asked to change your password from time-to-time for security reasons through our system. You should keep your log-in ID and password in a secure location. Never share you log-in ID or password. Republic Bank associates will never ask for your log-in ID or password. Any person having access to your log-in ID and password will be able to access your accounts through Internet Banking and perform all available transactions including reviewing account information and making transfers from your accounts to other accounts or merchants.

Equipment and Software Requirements: In order to use Internet Banking, you will need a computer with a modem and a web browser. For security reasons, we recommend you use either Netscape Navigator or Microsoft Internet Explorer for your web browser. You may also need access to Adobe Acrobat Reader to view certain features of your account such as online statements or promotional offers. You are responsible for the set-up, security, and maintenance of your computer, modem, and software. You agree that we are not responsible for any errors, failures, or security breaches resulting for any malfunction of your computer or any virus or other problems generated by your computer, modem, or software. TERMINATION OF SERVICES

You are responsible for complying with all terms of this Agreement and with the any terms provided to you in your account disclosure or other regulatory disclosures. We may terminate your Internet Banking services under this Agreement without prior notice to you, if you do not pay any required fee when due; if you fail to comply with any terms of this Agreement, your account disclosure, or other regulatory disclosures provided to you; or if your account is not maintained in good standing. If you are not paying a monthly service charge for Internet Banking, we may convert your Internet Banking access to "dormant" status, if you have not logged into Internet Banking or conducted a transaction within the previous 120 consecutive days. If your account is placed into dormant status, you must contact the Bank at 1-888-782-3333 to have your account re-activated before you will regain access to your Internet Banking services.

CHANGES TO TERMS OR OTHER AMENDMENTS

You agree to be bound by any amendments or modifications to this Agreement. If any amendment or modification will adversely affect your account, we will notify you within required regulatory timeframes at the street address or e-mail address you provided to us in our records. Other non-adverse amendments or modifications may be mailed or e-mailed to you directly or may be posted in the lobby of our banking centers or online for your review.

OTHER PROVISIONS

E-Mail Use:You can use e-mail to contact us about inquiries, account maintenance, and/or matters; however, e-mail may not be a secure method of communication. To protect your identity and account, we recommend you do not send confidential information such as account numbers or transactional data by e-mail. There may be times when you need to speak with someone directly (especially to report lost or stolen account information or identity theft or to request a stop payment). In these cases, do not use e-mail. Instead, call us at 1-888-782-3333. Please remember, you cannot use e-mail to transfer funds between accounts or conduct other account transactions, such a bill payment.

Republic Business Days: Our business days are Monday through Friday from 8 a.m. until 4 p.m. Eastern Time (ET) each day. Transactions processed after 4 p.m. ET will be counted on the next business day. The period from 4 p.m. ET Friday until 4 p.m. ET the following Monday is considered part of Monday's business day. Bank holidays are NOT considered a business day.

Internet Banking Hours of Operation: An Internet Banking representative is available to assist you, either by phone at 1-888-782-3333 or through our live assistance service at republicbank.com, Monday through Friday from 8 a.m. until 8 p.m. Eastern Time (ET), Saturdays from 9 a.m. to 5 p.m. ET. and Sundays from noon to 4:00p.m. ET.

Website Ownership: The content, information, images, and offers on republicbank.com or affiliated sites are copyrighted by Republic Bank & Trust Company and any unauthorized use, reproduction, linking, or distribution of any of these items is strictly prohibited.

Geographic Information: Internet Banking services, deposit accounts, loans, or other services available at republicbank.com are solely offered to citizens and residents of the United States currently residing in the United States. Citizens and residents may not be able to access any or all Internet Banking services outside of the United States.

Governing Law:This Agreement will be governed by and construed in accordance with the laws of the United States of America and the laws of the Commonwealth of Kentucky, without regard to Kentucky's conflict of law provisions.

Account Maintenance: You agree to properly maintain your accounts and comply with the terms and conditions governing those accounts.

Pre-Authorized Payments via Online Bill Pay: You may use the online Bill Pay service to schedule current, recurring, or future payments to merchants from your account. You must designate the merchants to whom you want payments to be made and provide the account numbers and other requested information to the Bank to ensure that payments are properly processed and credited. By designating merchants and transmitting payment instructions, you authorize Republic to follow your payment instructions and transfer funds from your designated account to those merchants according to your instructions. If there are insufficient funds in your account to make your requested payments, the Bank may refuse to make the payments you have authorized or allow the payment to be paid by overdrawing your account. In either event, you agree to be responsible for any non-sufficient funds (NSF) and/or overdraft fees you may incur. For current fees, please consult our Fee Schedule.

Electronic Funds Transfers: For other requirements and restrictions regarding electronic fund transfers and your error resolution rights, please review the Electronic Funds Transfer Disclosure provided to you at account opening or posted at republicbank.com.

Transfers from Savings and/or Money Market Accounts: Federal regulations limit the number of electronic transfers from savings and money market accounts. You are limited to six (6) pre-authorized transfers per statement cycle including transfers conducted by telephone or through republicbank.com. For money markets, of those six (6) transfers, only three (3) per statement cycle can be conducted by a check or a point-ofsale transaction with a merchant. Each transaction or payment you make through Internet Banking will count as one of the six limited transfers you are permitted each month from your account. Limits are aggregated per account, not between all accounts of this type you have with Republic. Payments to any loan you have with Republic, ATM transactions, or in-person transactions are unlimited. We recommend that you do not use your money market or savings account as your primary transactional account because of these restrictions.

Identification Requirements: In order to help the government fight the funding of terrorism, money laundering activities, and identify theft, the USA PATRIOT Act requires all financial institutions to obtain, verify, and record information that identifies each person or business that opens an account. What this means to you: 1) When you open an account or apply for a loan with Republic, we will ask for your name, street address, tax identification number, date of birth, and other information that will allow us to identify you; 2) We will also ask for a copy of an unexpired, government-issued photo ID or other identifying documents.

E-Statement Agreement

If you accept the Online Statement disclosure by clicking on the Statements icon within Online Banking, you agree to receive you checking account statements, including any advice corrections, online each month going forward. You will no longer receive your checking account statements via paper mail or e-mail. You will be able to access your current and previous eleven months' account statements anytime you log-in to Internet Banking. We will continue to notify you each month when a new account statement is ready to be viewed online.

Electronic Bill Payment Authorization

You authorize Republic Bank to post payment transactions generated by telephone and through online Bill Pay service at republicbank.com to the account you have designated via electronic form. You understand that you retain full control of your account. If at any time you wish to discontinue your online Bill Pay service, you will provide written notification to the Bank. Your use of the online Bill Pay service signifies that you have read and agree to all terms and conditions regarding the use of the online Bill Pay service.

You understand that payments requested through the online Bill Pay service may take up to five (5) business days to process before they are provided to the merchant you have requested they be sent. Payments may be sent by the Bank either electronically or via paper check. The Bank is not liable for any service fee or late charges you may have to pay resulting from scheduling a transaction through the online Bill Pay service. If a recurring Bill Payment is set up to be sent on a particular date of the month and that date falls on a weekend or bank holiday the payment will be sent the following business day. Please allow ample time for the payment to be received by the payee. You also understand that you are solely responsible for any losses, fees, or penalties that you might incur due to the lack of sufficient funds or other conditions that could prevent the withdrawal of funds from your account.

ELECTRONIC BILL PAYMENT AUTHORIZATION

I AUTHORIZE my financial institution to post payment transactions generated by phone and/or PC from the Bill Paying Service to the account indicated on the form being sent electronically. I understand that I am in full control of my account and that my 100% satisfaction is unconditionally guaranteed. If at any time I decide to discontinue service, I will provide written notification to my financial institution. My use of the Bill Paying Service signifies that I have read and accepted all terms and conditions of the Bill Paying Service.

I UNDERSTAND that payments may take up to 5 business days to reach the vendor and that they will be sent either electronically or by check. My financial institution is not liable for any service fees or late charges levied against me. I also understand that I am responsible for any loss or penalty that I may incur due to lack of sufficient funds or other conditions that may prevent the withdrawal of funds from my account.
